1. Introduction / Application
The following general delivery terms apply unless another written agreement exists. The customer’s purchasing conditions do not apply unless JO Hydraulics A/S has accepted them in writing.
Deliveries are made in accordance with NL92, with the changes and additions below.
In case of interpretative doubt, the conditions below shall take precedence.
These conditions apply exclusively to business-to-business (B2B) transactions. JO Hydraulics A/S does not sell to private consumers.
2. Prices and Quotations
JO Hydraulics’ price lists apply unless otherwise agreed. We reserve the right to adjust prices due to increases from subcontractors, changes in public duties, customs duties, exchange rates, raw material prices, and freight costs. The validity period is stated in the quotation.
Quotations become binding only when JO Hydraulics confirms the buyer’s order in writing.
Our suppliers are experiencing unprecedented increases in production costs: raw materials, transportation, energy, and fuel. Many have passed part of these costs on to us in the form of price increases and surcharges effective immediately – even for already confirmed purchases. We therefore regret to inform you that we will pass on these price increases for all orders shipped after 30/04/2022 until the supply situation stabilizes.
3. Delivery
Unless otherwise agreed, delivery is Ex-works.
As a rule, shipments are not left without proof of receipt. If no one is available to receive the goods, they will be returned to the nearest freight terminal. Upon contacting the freight terminal with valid identification, the shipment can be collected.
JO Hydraulics delivers only to business addresses.
4. Delivery Time and Delays
NL92 section 6 points 10–16 are replaced by the following:
- The delivery time is calculated from the date of order confirmation, but not before JO Hydraulics has received all necessary information and specifications to complete the delivery, and any drawings have been approved by the customer.
- JO Hydraulics may extend the agreed delivery time by up to 30 days from the original deadline, provided the customer is informed in advance. The customer may not exercise remedies for breach during this period and cannot withhold payment due to the delay.
- If JO Hydraulics exceeds the extended delivery deadline, the customer may claim liquidated damages of 0.5% of the purchase price (excluding VAT and other charges) per full week of delay, up to a maximum of 5% of the purchase price for the delayed delivery. Claims must be submitted within 3 months of the scheduled delivery date; otherwise, the right lapses.
- Alternatively, after the extended deadline has expired, the customer may terminate the agreement and claim compensation up to 5% of the purchase price (excluding VAT and other charges) for the delayed delivery.
- Only direct losses are compensable – no compensation is given for operational losses or other indirect losses.
5. Payment
NL92 section 7 points 17–19 are replaced by the following:
The payment due date is stated on the invoice. JO Hydraulics may charge reminder fees for late payments.
Customers not approved for credit must purchase online and can pay by Visa or Mastercard.
The customer is not entitled to withhold any part of the purchase price due to counterclaims against JO Hydraulics.
6. Changes to Customer Account Information
The customer must ensure JO Hydraulics has correct information, including VAT number, company name, phone number, address, invoicing/contact email, authorisations, and account codes. Updates must be sent by email to info@johydraulics.dk.
If updated information is not received, JO Hydraulics is not liable for errors in the customer account or for non-receipt of invoices, reminders, etc.
The customer must revoke authorisations and change codes to prevent misuse of the account. JO Hydraulics is not liable for misuse caused by the above omissions.
7. Returns and Complaints
7.1 Returns
Right of return is 30 days from invoice date.
Goods are only accepted after JO Hydraulics has received a return form created via our website. The return must include the receipt from the completed form. Goods and packaging must be intact, unused, and saleable. The value of the goods will be credited; freight costs are borne by the customer. Special order items are non-returnable.
7.2 Complaint Handling
Complaints are accepted only after a complaint form is submitted via our website. The complaint must include the receipt from the form. The item’s nameplate or serial number must be intact.
If a replacement order is required during the complaint process, it will be invoiced along with any freight costs.
Rejected complaint items will be returned at the customer’s expense.
Faulty goods are eligible for complaints up to 12 months from invoice date.
7.3 Liability for Damage Caused by the Product
If a JO Hydraulics delivery causes damage, the company is liable for personal injury only if it is proven to result from JO Hydraulics’ error or negligence.
7.4 Liability for Defects
Repairs are carried out only in Denmark unless otherwise agreed.
If defects are not remedied within a reasonable time, the buyer may:
a) demand a proportional reduction in price, up to 15% of the agreed price, or
b) terminate the agreement if the defect is significant, and claim compensation up to 15% of the agreed price.
7.5 Disputes / Governing Law
Disputes shall be settled by the civil courts in the jurisdiction where JO Hydraulics is domiciled.
8. Advisory Liability
Guidance from JO Hydraulics is for product performance only. Final use of the product is the customer’s responsibility.
Where separate written advice is given, JO Hydraulics’ liability is limited to DKK 1,000,000 and excludes operational losses, loss of profit, or other indirect losses. Liability expires 5 years after completion of the advisory task.
9. E-commerce at johydraulics.dk
Payment by VISA or Dankort is considered cash payment; charges are covered by JO Hydraulics. Orders placed Mon–Thu before 14:00 and Fri before 13:00 are shipped the same day if in stock.
We reserve the right to cancel orders due to discontinued items, errors, or price changes.
Images, graphics, and other illustrations on our website belong to JO Hydraulics and may not be copied without written permission.
We do not share customer data with third parties.
Foreign orders are accepted only via email or telephone.
10. Complaints Procedure
JO Hydraulics trades exclusively with business customers (B2B). Complaints should be directed to info@johydraulics.dk or +45 7514 1500.
If no agreement is reached, the case will be decided by the civil courts in JO Hydraulics’ jurisdiction, cf. section 7.5.
If the parties are unable to reach an agreement, the dispute shall be settled by the civil courts in the jurisdiction where JO Hydraulics A/S is domiciled – see clause 7.4.
